This contract (the “Contract”) entered made effective as date last signature (the “Effective Date”), by between Department of Legal Metrology Delhi (the “Department”), and counterparty (the “Counterparty”).
1. Scope Work
The Department engages the Counterparty to provide legal metrology services in accordance with the laws and regulations of the National Capital Territory of Delhi and the Legal Metrology Act, 2009.
2. Deliverables
The Counterparty shall deliver accurate and reliable legal metrology services, including but not limited to verification and calibration of measuring instruments, enforcement of legal metrology laws, and issuance of licenses and registrations as required.
3. Compensation
In consideration for the services provided by the Counterparty, the Department shall pay the agreed-upon fees as outlined in the attached Schedule of Fees.
4. Compliance Laws
Both parties shall perform their obligations under this Contract in compliance with all applicable laws and regulations, including but not limited to the Legal Metrology (Packaged Commodities) Rules, 2011 and the Delhi Legal Metrology (Enforcement) Rules, 2011.
5. Term Termination
This Contract shall commence on the Effective Date and shall continue until the completion of the services, unless earlier terminated in accordance with its terms. Either party may terminate this Contract for material breach by the other party upon written notice with a cure period of 30 days.
6. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the National Capital Territory of Delhi, without giving effect to any choice of law or conflict of law provisions.
7. Entire Agreement
This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
